1. Account Registration and Access

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are designed for businesses operating as Amazon Delivery Service Partners (DSPs) and their authorized personnel.

1.2 Account Creation

To use the Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

1.3 User Roles

The Services support multiple user roles including Administrators, Managers, Employees, and Drivers. Account administrators are responsible for assigning roles and permissions to their organization's users. Each role has access to specific features as configured by the organization's administrator.

1.4 Multi-Organization Access

Users may belong to multiple organizations within the platform. Each organization's data is isolated and access is governed by the permissions assigned within each organization.

2. Description of Services

Affirmo AI provides a multi-tenant SaaS platform for managing delivery service partner operations, including but not limited to:

• •Dispatch & Scheduling: daily roster management, route assignments, van allocation, check-in/check-out tracking, and shift templates.
• •Driver Management: driver profiles, onboarding workflows, availability tracking, performance monitoring, and status management.
• •Performance Scorecards: automated syncing and display of driver performance metrics including FICO scores, safety ratings, quality metrics, and delivery statistics.
• •Compliance & Write-Ups: disciplinary documentation with digital signatures, escalation tracking, work-hour compliance monitoring, and audit-ready reporting.
• •Messaging & Communication: two-way driver messaging, broadcast SMS, scheduled messages, manager-to-manager chat, and message templates.
• •Forms & Checklists: customizable form builder, SMS-delivered digital forms, electronic signatures, and submission tracking.
• •Fleet Management: vehicle inventory, status tracking, maintenance monitoring, and van-to-driver assignments.
• •Driver Portal: a mobile-optimized web application where drivers can view schedules, check in/out, receive announcements, submit forms, and communicate with dispatchers.
• •Chrome Extension: a browser extension that facilitates data synchronization between Amazon DSP portals and the Affirmo platform.

We reserve the right to modify, update, or discontinue any part of the Services at any time, with reasonable notice where practicable.

3. Subscription and Payment

3.1 Pricing

The Services are offered on a subscription basis. Current pricing is available on our Pricing page. All prices are in U.S. dollars unless otherwise stated.

3.2 Billing

Subscriptions are billed monthly in advance. Payment is processed through our third-party payment processor (Stripe). By subscribing, you authorize recurring charges to your payment method.

3.3 Money-Back Guarantee

We offer a 14-day money-back guarantee. If the Services do not meet your expectations within the first 14 days of your subscription, you may request a full refund by contacting us.

3.4 Cancellation

You may cancel your subscription at any time through the Stripe customer portal or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period after the 14-day guarantee period.

4. User Responsibilities and Acceptable Use

4.1 Compliance with Laws

You agree to use the Services in compliance with all applicable federal, state, and local laws and regulations, including but not limited to employment laws, data protection regulations, and Amazon DSP program requirements.

4.2 Accurate Information

You are responsible for ensuring that all information you enter into the Services is accurate and up to date. This includes driver records, compliance documentation, and organizational data.

4.3 Prohibited Conduct

You agree not to:

• •Share account credentials with unauthorized parties.
• •Attempt to gain unauthorized access to other organizations' data or any part of the Services.
• •Use the Services to store or transmit malicious code, malware, or harmful content.
• •Reverse-engineer, decompile, or disassemble any part of the Services.
• •Use the Services in a manner that disrupts or interferes with other users' access.
• •Resell, sublicense, or redistribute the Services without our written consent.
• •Use the Services to violate any person's privacy or intellectual property rights.

4.4 Employment Decisions

The Services provide tools and data to assist with workforce management. However, all employment decisions — including hiring, disciplinary action, and termination — are made solely by you. Affirmo is not responsible for your employment practices or decisions.

5. Data and Privacy

5.1 Data Ownership

You retain ownership of all data you submit to or generate through the Services (“Your Data”). By using the Services, you grant Affirmo a limited license to use, process, and store Your Data solely as necessary to provide the Services.

5.2 Data Isolation

The Services use multi-tenant architecture with strict data isolation. Each organization's data is segregated and accessible only to authorized users within that organization.

5.3 Data Processing

We process personal data in accordance with our Privacy Policy. As a user who inputs driver and employee data into the platform, you are responsible for ensuring you have the necessary legal basis to collect, store, and process such data.

5.4 Data Export and Portability

You may export Your Data at any time through the Services' built-in export features, including CSV exports for scorecards, driver records, and form submissions, as well as PDF exports for write-ups and compliance reports.

5.5 Data Retention

We retain Your Data for as long as your account is active and as necessary to provide the Services. Upon account termination, we will retain Your Data for a reasonable period to comply with legal obligations, after which it will be deleted.

6. Chrome Extension

The Affirmo Chrome Extension (“Extension”) facilitates data synchronization between Amazon DSP portals and the Affirmo platform. By installing and using the Extension, you acknowledge and agree that:

• •The Extension operates only on Amazon DSP domains (logistics.amazon.com, relay.amazon.com, flex.amazon.com) and communicates exclusively with Affirmo servers.
• •The Extension reads dispatch, driver, vehicle, and performance data from Amazon DSP portals using your existing Amazon session credentials.
• •The Extension does not store your Amazon login credentials. It relies on your active browser session with Amazon.
• •Data collected by the Extension is transmitted securely to Affirmo and processed in accordance with these Terms and our Privacy Policy.
• •You are responsible for ensuring that your use of the Extension complies with Amazon's DSP program terms and any applicable agreements with Amazon.
• •We are not affiliated with, endorsed by, or sponsored by Amazon. The Extension is an independent tool that interoperates with Amazon's web interfaces.

7. Third-Party Integrations

The Services integrate with third-party services to deliver functionality. These include:

• •Stripe: for payment processing. Your payment information is handled directly by Stripe in accordance with their terms and privacy policy.
• •Twilio: for SMS messaging. Driver phone numbers and message content are transmitted through Twilio's infrastructure.
• •Amazon Web Services (AWS): for email delivery via SES and cloud infrastructure.
• •AI/LLM Providers: for natural language processing features such as the AI planning assistant. Manager prompts may be processed by third-party AI services.

We are not responsible for the practices or availability of third-party services. Your use of third-party services is subject to their respective terms and policies.

8. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other materials, are the property of Affirmo AI LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your subscription.

You may not copy, modify, distribute, or create derivative works of the Services or any part thereof without our prior written consent. Feedback and suggestions you provide may be used by Affirmo without obligation to you.

9. Disclaimers and Limitation of Liability

9.1 “As Is” Basis

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Accuracy

While we strive for accuracy, we do not guarantee that data synced from Amazon or other third-party sources is complete, accurate, or current. Performance metrics, scorecards, and other synced data are provided for informational purposes and should be verified independently.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFFIRMO AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Affirmo AI LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your employment decisions or practices.

11. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Services. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably determine that your use poses a risk to the Services or other users.

Upon termination, your right to use the Services ceases immediately. Sections relating to data ownership, limitation of liability, indemnification, and dispute resolution survive termination.

12. Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), with the arbitration held in Piscataway, New Jersey.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and updating the “Last Updated” date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

14. General Provisions

• •Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Affirmo regarding the Services.
• •Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
• •Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• •Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
• •Force Majeure: We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control.
